General Terms and Conditions of Sale (GTC)

1. Purpose

The purpose of these General Terms and Conditions of Sale (GTC) is to define the terms and conditions applicable to the provision of usage licenses for the Calliente mobile application (hereinafter referred to as the “‘Application’), published by Alexis Hocine (hereinafter referred to as the””Publisher”), for the benefit of professional clients (hereinafter referred to as the “Client”).

2. Service Description

Calliente is a mobile application available on iOS and Android, enabling the synchronization of professional contacts from Microsoft Entra ID to the user’s mobile device’s native Contacts application.

3. Orders and Licenses

Any license order is subject to a quote accepted by the Client. The usage license is non-exclusive, non-transferable, and is granted for an initial period of twelve (12) months.

4. Automatic Renewal

In accordance with Article L215-1 of the Consumer Code, the license is renewable by automatic renewal for successive periods of twelve (12) months, unless terminated by either party with at least thirty (30) days’ notice before the expiration date. Termination must be notified by email or registered mail.

5. Pricing and Payment Terms

Prices are expressed in euros excluding taxes (excl. VAT) and are indicated on the validated quote. Payment is due upon order, by bank transfer or any other agreed means. In case of late payment, late payment penalties will be applied at the legal rate in force, as well as a flat-rate indemnity for recovery costs.

6. Liability

The Application is provided “as ‘is’. The” Publisher cannot be held responsible for indirect or intangible damages. The use of the Application is the Client’s responsibility, particularly concerning the management of its users and compliance with its organization’s internal rules.

7. Personal Data

No end-user contact data is stored by the Application. Only the following information is retained: Microsoft tenant ID, client company name, administrative and technical contacts. This data is securely hosted. The Publisher undertakes to comply with current regulations, particularly the GDPR.

8. Intellectual Property

All intellectual property rights related to the Application and its content belong exclusively to the Publisher. Any unauthorized reproduction or use is prohibited.

9. Governing Law and Jurisdiction

These GTC are governed by French law. In case of dispute, the parties undertake to seek an amicable solution. Failing that, the dispute will be brought before the competent court of Arras (France).
