General Terms and Conditions of Sale (GTCS)

1. Purpose

These General Terms and Conditions of Sale (GTCS) define the terms and conditions applicable to the provision of user licenses for the Calliente mobile application (hereinafter referred to as the “Application”), published by Alexis Hocine (hereinafter the “Publisher”), to professional clients (hereinafter the “Client”).

2. Description of the Service

Calliente is a mobile application available on iOS and Android that allows the synchronization of professional contacts from Microsoft Entra ID to the device’s native Contacts app.

3. Orders and Licenses

Any license order is subject to a quote accepted by the Client. The user license is non-exclusive, non-transferable, and granted for an initial duration of twelve (12) months.

4. Automatic Renewal

In accordance with Article L215-1 of the French Consumer Code, the license is automatically renewed for successive periods of twelve (12) months unless terminated by either party at least thirty (30) days before the expiration date. Termination must be notified in writing, by email or registered letter.

5. Pricing and Payment Terms

Prices are stated in euros, excluding taxes (VAT), and appear on the validated quote. Payment is due upon order, by bank transfer or any other agreed method. In case of late payment, late penalties will apply at the legal rate in force, along with a fixed compensation for recovery costs.

6. Liability

The Application is provided “as is.” The Publisher cannot be held liable for indirect or intangible damages. The use of the Application is the Client’s responsibility, particularly regarding user management and compliance with internal organizational rules.

7. Personal Data

No end-user contact data is stored by the Application. Only the following information is retained: Microsoft tenant ID, client company name, and administrative and technical contact details. This data is securely hosted. The Publisher commits to complying with current regulations, including the GDPR.

8. Intellectual Property

All intellectual property rights related to the Application and its content are the exclusive property of the Publisher. Any unauthorized reproduction or use is prohibited.

9. Governing Law and Jurisdiction

These GTCS are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution. Failing that, the dispute shall be submitted to the competent court in Arras, France.
